Creator Terms for Paid Cookbooks

These Creator Terms ("Creator Terms") form a supplementary agreement between you ("Creator", "you") and DK Tech Solutions UG (haftungsbeschränkt), Schwanthalerstr. 141, 80339 München, Germany ("BiteSnap", "we", "us") in addition to our Terms of Service. They apply whenever you list a cookbook for sale as a paid digital cookbook in the BiteSnap app and receive a share of the revenue. Please read them carefully before enabling paid sales. By enabling paid sales for a cookbook, you confirm that you have read, understood and accepted these Creator Terms.
1. Scope and Acceptance
These Creator Terms supplement our general Terms of Service and Privacy Policy. In case of conflict between these Creator Terms and our general Terms of Service with respect to paid cookbook sales, these Creator Terms take precedence. You accept these Creator Terms every time you publish or re-publish a paid cookbook offer. We may update these Creator Terms from time to time; the version in force at the time you publish or re-publish a paid cookbook offer applies to that offer.
2. Eligibility
To sell paid cookbooks, you must (a) be at least 18 years old (or the age of majority in your place of residence); (b) have a BiteSnap account in good standing; (c) provide truthful information about yourself; and (d) comply with the rules of the Apple App Store and Google Play Store, including Apple's Paid Applications Agreement and Google's Play Developer Distribution Agreement as they apply to in-app purchases facilitated by BiteSnap. If you are acting on behalf of a business entity, you warrant that you are authorised to bind that entity.
3. Merchant of Record; Role of BiteSnap and the App Stores
All paid cookbook purchases on BiteSnap are processed exclusively through in-app purchases on the Apple App Store or Google Play Store. The respective app store acts as merchant of record to the end customer: the app store collects payment, handles value-added tax (VAT) and sales tax, issues receipts and processes refunds in accordance with its own policies. BiteSnap is not a party to the sales contract between the app store and the end customer. BiteSnap acts as your commercial partner and platform: we host your cookbook, receive the remitted net proceeds from the app store, withhold our platform share, and remit your share to you in accordance with these Creator Terms.
4. License to BiteSnap
You retain ownership of the content in your cookbooks. By publishing a paid cookbook, you grant BiteSnap a worldwide, non-exclusive, transferable, sub-licensable, royalty-free license to store, reproduce, adapt (for technical and formatting purposes only), display, distribute, promote and make available your cookbook content through the BiteSnap app, the app stores, and our marketing channels, for the duration of your paid offer and for a reasonable wind-down period afterwards. You also grant buyers a personal, non-transferable, non-exclusive license to access and use the cookbook for private, non-commercial purposes through BiteSnap.
5. Rights and Warranties
You represent and warrant that: (a) you own or have obtained all rights, licenses, consents and permissions required to sell the cookbook content and grant the licenses above, including for all recipes, photos, videos, text, music, voice-over, logos and brand names; (b) the content does not infringe any third party's intellectual property, publicity, privacy, personality or other rights; (c) the content is not illegal, misleading, defamatory, discriminatory, sexually explicit, violent, hateful or otherwise in breach of our Community Guidelines; (d) all ingredient, allergen and nutritional information you provide is accurate to the best of your knowledge; and (e) you comply with any applicable food labelling, consumer protection and advertising laws. You will indemnify BiteSnap against any third-party claims resulting from a breach of these warranties.
6. Pricing
You choose the list price for your paid cookbook from the pricing tiers offered in the BiteSnap app, which map to the price points available in the Apple App Store and Google Play Store. The list price is displayed to end customers in their local currency and, in jurisdictions where required, includes VAT or sales tax as collected by the app store. BiteSnap may restrict or expand the available price tiers, territories and currencies at any time. You may change the price of future sales at any time; existing purchases are not affected.
7. Net Proceeds (Revenue that Reaches BiteSnap)
Because the app stores act as merchants of record, BiteSnap never receives the full list price paid by the end customer. "Net Proceeds" for a given sale means the amount actually remitted by the Apple App Store or Google Play Store to BiteSnap for that sale, after deduction by the app store of: (a) value-added tax, sales tax, goods-and-services tax or equivalent consumption taxes; (b) the app store's commission (currently up to 30%, or as low as 15% under Apple's Small Business Program or Google's reduced commission tier, each as determined by the app store in its sole discretion and subject to change); (c) any other app store fees, currency conversion adjustments or withholdings applied to that sale; and (d) any amount the app store reclaims from us because of a refund, chargeback, fraud reversal, subscription cancellation, or billing adjustment attributable to that sale. All payout calculations under these Creator Terms are performed on Net Proceeds, not on the gross list price. Any payout amount shown in the BiteSnap app before a sale (for example in the paid cookbook editor) is an illustrative estimate only, based on assumed app store parameters, and is not binding.
8. Creator Revenue Share
Subject to these Creator Terms, BiteSnap will pay you a revenue share equal to seventy percent (70%) of the Net Proceeds for each completed paid cookbook sale attributable to your cookbook. BiteSnap retains the remaining thirty percent (30%) of Net Proceeds as its platform fee. The revenue share is calculated separately per sale and per territory. If a sale is refunded, charged back or otherwise reversed by the app store, the corresponding revenue share is cancelled and any amount already credited to you will be deducted from future payouts or reclaimed from you to the extent permitted by law.
9. Payout Schedule and Method
BiteSnap will calculate your accrued revenue share on a monthly basis. Revenue share becomes payable after BiteSnap has itself received the corresponding Net Proceeds from the app store and after any reserve period required by the app store has expired. Payouts are made via the payout provider nominated by BiteSnap (for example a bank transfer or a third-party payment platform) to the account you designate in your creator profile. We may set a minimum payout threshold (for example EUR 25); unpaid balances below the threshold will be carried forward to later periods. You are responsible for the accuracy of your payout details; BiteSnap is not liable for delays or losses caused by incorrect, outdated or incomplete banking information you provide.
10. Reserves, Refunds, Chargebacks and Reversals
We may hold back a reasonable reserve from your revenue share to cover anticipated refunds, chargebacks, fraud, compliance costs and platform-level adjustments, consistent with the risk profile of paid cookbook sales. If the app store reverses, refunds or claws back any amount after we have already paid the corresponding revenue share to you, we may: (a) offset that amount against future revenue share due to you; or (b) invoice you for the amount if it cannot reasonably be recovered by offset. We will provide a transparent statement of any such adjustments.
11. Your Taxes
You are solely responsible for reporting and paying any income tax, trade tax, social security contributions or other taxes and levies due on the revenue share we pay you, in your country of tax residence and any other relevant jurisdiction. Where required by law, BiteSnap may ask for tax information (for example a VAT ID, tax residency certificate, or a declaration of small-business status under § 19 UStG for German creators) before it can make payouts, and may withhold taxes if required to do so. BiteSnap does not provide tax advice; please consult a qualified tax advisor.
12. Content Standards for Paid Cookbooks
Paid cookbooks must meet the same content standards as free content on BiteSnap (see our Terms of Service and Community Guidelines). In addition, paid cookbooks must be (a) original to you or properly licensed; (b) sufficiently complete and coherent to justify the price charged; (c) free of affiliate spam, covert advertising or misleading health claims; and (d) accompanied by accurate ingredient and allergen information where relevant. BiteSnap may remove, un-publish, pause sales for, or edit the metadata of any cookbook that violates these standards, with or without prior notice.
13. Suspension and Termination of Paid Sales
You may pause or disable new purchases for your paid cookbook at any time through the BiteSnap app. Buyers who have already purchased the cookbook keep their access for the duration required under the applicable app store rules. BiteSnap may suspend or terminate your ability to sell paid cookbooks at any time, with or without notice, if (a) you breach these Creator Terms or our Terms of Service; (b) the relevant app store requires it; (c) we reasonably suspect fraud or illegal activity; or (d) we discontinue paid cookbooks as a product. Upon termination, accrued and undisputed revenue share that has actually been remitted to BiteSnap will still be paid out to you, subject to set-offs described above.
14. Changes to These Creator Terms
BiteSnap may change these Creator Terms at any time with reasonable notice through the BiteSnap app or by email. Changes that are adverse to the Creator take effect no earlier than 30 days after notification. Your continued publication of paid cookbooks after the notice period constitutes acceptance of the updated Creator Terms. If you do not agree to a change, you may disable new purchases for your paid cookbooks and stop using the paid cookbooks feature before the change takes effect.
15. Limitation of Liability
BiteSnap provides the paid cookbooks feature "as is" and does not guarantee any specific level of sales, revenue or availability. To the maximum extent permitted by law, BiteSnap is liable only for damages caused by intent or gross negligence, and for breach of material contractual obligations; in the latter case, liability is limited to damage that is typical and foreseeable for this type of contract. This limitation does not apply to mandatory statutory liability (for example under the German Product Liability Act) or to damages arising from injury to life, body or health.
16. Governing Law and Jurisdiction
These Creator Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). If you are acting as a merchant (Kaufmann), a legal person under public law, or a special fund under public law, or if you have no place of general jurisdiction in Germany, the exclusive place of jurisdiction for all disputes arising out of or in connection with these Creator Terms is Munich, Germany. Mandatory consumer protection rules in your country of residence remain unaffected.
